This license applies to original characters, illustrations, stickers, graphics, downloadable assets, and other creative materials published by The YUPs and explicitly made available under this license (the “Licensed Materials”).
The YUPs characters, names, logos, visual identities, and related intellectual property remain the property of their respective rights holder(s).
Quick Summary
Personal & Non-Commercial Use — Free
You may use, share, edit, remix, and create derivative works from the Licensed Materials for personal and non-commercial purposes.
Examples include:
- Personal avatars, wallpapers, and profile images
- Memes and reaction images
- Fan art and personal creative projects
- Personal social media posts
- School and educational projects
- Non-commercial community projects
- Personal websites that do not promote or generate revenue
- Printing a YUP item for your own personal use
Commercial Use — License Required
If your use is connected to making money, promoting a business, selling a product or service, or otherwise supporting a commercial activity, you need a separate commercial license from The YUPs.
Examples include:
- Paid apps, games, software, or digital products
- Monetized videos, streams, newsletters, or creator content
- Advertising or marketing
- Company websites or company social media
- Paid publications
- Merchandise offered for sale
- Stickers, apparel, prints, toys, or physical products sold commercially
- Client work
- Brand campaigns
- Products or services that use YUP characters as part of their commercial identity
Simple rule: If you make money from it, promote a business with it, or include it in a paid product or service, it is commercial use.
1. Personal & Non-Commercial License
Subject to the terms of this license, The YUPs grants you a worldwide, non-exclusive, non-transferable, royalty-free license to use the Licensed Materials for personal and non-commercial purposes.
You may:
- Download and use the Licensed Materials.
- Copy and share the Licensed Materials.
- Resize, crop, recolor, edit, animate, remix, or otherwise modify the Licensed Materials.
- Create fan art, memes, reaction images, derivative artwork, and other non-commercial creative works.
- Publish your non-commercial creations online.
- Use the Licensed Materials in personal, educational, hobby, and community projects.
No separate permission is required for these uses as long as your use remains non-commercial and complies with this license.
2. Commercial Use
Commercial use is not included in the free Personal & Non-Commercial License.
You must obtain a separate commercial license from The YUPs before using the Licensed Materials for commercial purposes.
Commercial use includes, but is not limited to, any use that:
- Generates direct or indirect revenue;
- Promotes a company, brand, product, service, organization, or commercial activity;
- Appears in a paid product or service;
- Is created as paid client work;
- Is used in advertising, sponsorship, marketing, or promotional content;
- Is sold, licensed, distributed, or monetized for financial benefit.
A commercial license may be subject to additional terms, usage limits, fees, production limits, territory restrictions, or other conditions.
Large-scale merchandise production, character licensing, exclusive licensing, sublicensing, brand collaborations, and other major commercial uses may require a separate written agreement.
3. Attribution
For personal and non-commercial use, attribution is appreciated but not required where it would be impractical or disruptive.
When practical, you may credit:

You must not remove copyright, trademark, authorship, or licensing notices from files where those notices are intentionally included.
4. Prohibited Uses
Whether your use is personal, non-commercial, or commercially licensed, you may not do any of the following without separate written permission.
4.1 Claim Ownership
You may not claim that you created, own, or exclusively control The YUPs characters, original designs, names, logos, or Licensed Materials.
4.2 Resell or Redistribute the Original Assets as Assets
You may not sell, sublicense, upload, redistribute, or package the original Licensed Materials, or substantially unchanged versions of them, as:
- Stock assets
- Clip art
- Download packs
- Templates
- Sticker asset packs
- Design resources
- NFT collections
- Digital collectible packs
- Other competing asset libraries
You may share original files only where reasonably necessary for a permitted non-commercial collaboration, provided that all recipients remain subject to this license.
4.3 Trademark or Brand Registration
You may not register or attempt to register any YUP character, character name, logo, artwork, visual identity, or confusingly similar variation as a trademark, service mark, company name, product name, domain name, or other exclusive brand identifier.
4.4 False Endorsement or Official Status
You may not present your project, product, account, artwork, or derivative work in a way that falsely suggests that it is:
- Officially created by The YUPs;
- Endorsed, sponsored, or approved by The YUPs;
- An official collaboration with The YUPs; or
- An official part of The YUPs canon, unless explicitly authorized.
Fan-made or derivative works should not be represented as official The YUPs content.
4.5 AI Training and Character Models
Unless separately authorized in writing, you may not use the Licensed Materials, or collections substantially derived from them, to:
- Train or fine-tune an AI model;
- Create a LoRA, embedding, checkpoint, adapter, or character-specific generative model;
- Build or distribute a dataset intended for machine learning or model training;
- Develop a model or automated system whose primary purpose is to reproduce The YUPs characters or visual identity.
Using general-purpose creative software or AI tools to edit or transform a Licensed Material does not, by itself, constitute prohibited AI training.
4.6 Unlawful or Misleading Use
You may not use the Licensed Materials in connection with unlawful activity, fraud, impersonation, deceptive conduct, or content that falsely attributes statements or actions to The YUPs or its rights holder(s).
5. Derivative Works
You retain the rights you may have in your own original contributions to a derivative work.
However, your derivative work does not give you ownership of the underlying The YUPs characters, original artwork, names, logos, designs, or other pre-existing intellectual property.
Creating a derivative work does not grant you the right to prevent The YUPs or other authorized users from creating similar ideas, poses, expressions, compositions, adaptations, or works.
6. Intellectual Property
Except for the limited permissions expressly granted under this license, all rights in The YUPs characters, names, logos, designs, artwork, visual identity, and Licensed Materials are reserved.
This license does not transfer ownership of any copyright, trademark, character right, design right, or other intellectual property right.
Nothing in this license grants you any right to use The YUPs, YUP, or other protected names or visual identifiers as your own brand, trademark, product identity, or source identifier.
7. Commercial Licenses
Commercial licenses may be offered separately through The YUPs website or by written agreement.
The availability of a standard commercial license does not guarantee permission for every commercial use.
The following uses may require individually negotiated permission:
- Mass-produced merchandise
- Toys and collectibles
- Large-scale retail distribution
- Brand collaborations
- Advertising campaigns
- Character licensing
- Exclusive rights
- Sublicensing
- Film, television, or major media productions
- Uses in which a YUP character becomes a primary brand mascot or commercial identity

8. Termination
Your rights under this license terminate automatically if you materially violate its terms.
If the violation is reasonably capable of being corrected and you fully correct it after becoming aware of the violation, The YUPs may choose to restore your permission.
Termination of this license does not affect any rights or remedies available to the rights holder under applicable law.
9. No Warranty
The Licensed Materials are provided “as is” and “as available.”
To the maximum extent permitted by applicable law, The YUPs makes no warranties regarding the Licensed Materials, including warranties of merchantability, fitness for a particular purpose, non-infringement, or availability.
You are responsible for determining whether your use complies with applicable laws and third-party rights.
10. Limitation of Liability
To the maximum extent permitted by applicable law, The YUPs and its rights holder(s) will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from your use of the Licensed Materials.
11. Changes to This License
The YUPs may publish updated versions of this license in the future.
An updated license applies prospectively to materials distributed under that updated version.
Materials that you validly received under an earlier version remain subject to the version that applied when you received them, unless you agree to the updated version.

1. 个人及非商业授权
在遵守本许可全部条款的前提下，The YUPs 授予你一项全球范围、非独占、不可转让、免版税的许可，用于个人及非商业目的使用授权素材。
你可以：

- 复制和分享授权素材。
- 对授权素材进行缩放、裁剪、改色、编辑、动画化、混合、改编或其他修改。

2. 商业用途

- 用于宣传企业、品牌、产品、服务、机构或商业活动的使用；
- 出现在收费产品或服务中的使用；
- 作为收费客户项目的一部分完成的使用；
- 用于广告、赞助、市场营销或商业推广的使用；
- 为获得经济利益而销售、授权、发行或变现的使用。
商业授权可能附带额外的使用范围、费用、生产数量、地区范围以及其他条件。
大规模商品生产、角色授权、独家授权、再授权、品牌联名以及其他重大商业用途，可能需要另行签署书面协议。
3. 署名
对于个人及非商业用途，我们鼓励署名，但在署名明显不方便或会影响正常使用的场景中，不强制要求。
在适合署名的场景中，可以使用：

如果某个文件中已经明确包含版权、商标、作者或许可信息，你不得故意删除这些信息。
4. 禁止用途
无论你的使用属于个人、非商业用途，还是已经取得商业授权，未经另行书面许可，你均不得进行以下行为。
4.1 冒充权利人
你不得声称自己创作、拥有或独占控制 The YUPs 的角色、原始设计、名称、Logo 或授权素材。
4.2 将原始素材作为素材再次销售或分发
你不得将原始授权素材或基本未发生实质变化的版本，以以下形式出售、再授权、上传、重新分发或打包：
- Stock 素材
- Clip Art
- 下载素材包
- 模板
- Sticker 素材包
- 设计资源
- NFT 系列
- 数字收藏品
- 其他与 The YUPs 素材库形成竞争的资源库
如果某个获准的非商业协作确实需要分享源文件，可以在合理范围内向协作者分享，但所有接收者仍须遵守本许可。
4.3 商标及品牌注册
你不得将任何 YUP 角色、角色名称、Logo、插画、视觉形象，或容易造成混淆的相似变体，注册或尝试注册为：
- 商标
- 服务标志
- 公司名称
- 产品名称
- 域名
- 其他排他性的品牌标识
4.4 虚假官方身份或合作关系
你不得以任何方式让其他人误以为你的项目、产品、账号、作品或衍生作品：
- 由 The YUPs 官方创作；
- 得到 The YUPs 官方认可、赞助或背书；
- 属于 The YUPs 官方合作项目；
- 属于 The YUPs 官方世界观或 Canon 内容。
除非得到明确授权，Fan-made 或衍生创作不得被描述为 The YUPs 官方内容。
4.5 AI 训练及角色模型
除非另行获得书面授权，你不得使用授权素材或主要由授权素材构成的数据集合来：
- 训练或微调 AI 模型；
- 创建 LoRA、Embedding、Checkpoint、Adapter 或特定角色生成模型；
- 建立或发布以机器学习或模型训练为目的的数据集；
- 开发主要目的为复现 The YUPs 角色或视觉形象的模型或自动化系统。
使用通用创作软件或 AI 工具对某张授权素材进行编辑或转换，本身不视为上述禁止的 AI 训练行为。
4.6 违法、欺诈或误导性用途
你不得将授权素材用于违法行为、欺诈、冒充、欺骗性活动，或以虚假方式把某些言论、行为、观点归属于 The YUPs 或其权利人。
5. 衍生作品
对于衍生作品中由你独立创作的原创部分，你保留依法可能享有的相关权利。
但是，创作衍生作品并不会使你取得以下内容的所有权：
- The YUPs 原有角色
- 原始插画
- 角色名称
- Logo
- 视觉设计
- 其他在先存在的知识产权
你也不得因为创作了某个衍生作品，就阻止 The YUPs 或其他获得授权的创作者创作相似的想法、姿势、表情、构图、改编或作品。
6. 知识产权
除本许可明确授予你的有限使用权限外，The YUPs 角色、名称、Logo、设计、插画、视觉形象及授权素材的全部相关权利均予保留。
本许可不会向你转让任何版权、商标权、角色相关权利、外观设计权或其他知识产权。
本许可也不会授予你将 The YUPs、YUP 或其他受保护名称或视觉标识作为你自己的品牌、商标、产品标识或商业来源标识使用的权利。
7. 商业授权
The YUPs 可以通过官方网站或书面协议单独提供商业授权。
提供标准商业授权，并不意味着所有商业用途均自动获得许可。
以下用途可能需要单独协商并取得专门授权：
- 大规模商品生产
- 玩具及收藏品
- 大规模零售发行
- 品牌联名
- 广告 Campaign
- 角色授权
- 独家授权
- 再授权
- 电影、电视或大型媒体项目
- 将 YUP 角色作为主要品牌吉祥物或商业识别的一部分

8. 授权终止
如果你严重违反本许可条款，本许可授予你的权利将自动终止。
如果相关违约行为能够合理纠正，并且你在知悉违约后完整纠正了该行为，The YUPs 可以自行决定是否恢复你的使用许可。
许可终止不会影响权利人依据适用法律已经享有的其他权利或救济方式。
9. 不提供保证
授权素材按 “现状” 和 “现有可用状态” 提供。
在适用法律允许的最大范围内，The YUPs 不对授权素材作出任何明示或默示保证，包括但不限于适销性、特定用途适用性、不侵权或持续可用性保证。
你有责任自行确认自己的具体使用方式是否符合适用法律及第三方权利要求。
10. 责任限制
在适用法律允许的最大范围内，The YUPs 及其权利人不对因你使用授权素材而产生的任何间接、附带、特殊、后果性、示范性或惩罚性损失承担责任。
11. 许可版本更新
The YUPs 可以在未来发布本许可的新版本。
新版本许可原则上仅适用于明确依据新版本发布的素材。
对于你已经依据旧版本合法取得的授权素材，除非你主动接受新版本许可，否则仍适用你取得该素材时对应的许可版本。
